2. Definitions
- Platform: The Vaktimce online booking and business management software provided at vaktimce.com and its subpages.
- Service: Making the Platform available over the internet (as a cloud-based software service) with the features included in the selected plan.
- Subscription period: The monthly (1 month) or yearly (12 months) usage term chosen by the Buyer.
- Plan: The Starter, Professional or Enterprise service plans whose features and limits are set out on the pricing page.
3. Subject of the Agreement
The subject of the Agreement is the provision of the Service relating to the plan ordered electronically by the Buyer, and the determination of the parties' rights and obligations. The main characteristics of the Service (staff, customer and appointment limits, features) are set out on the pricing page and in the order summary.
4. Price and Payment
- The service fee is the amount shown on the pricing page and in the order summary at the time of order. Prices on the English site are in US dollars (USD) and shown excluding taxes (prices on the Turkish site are in Turkish lira); taxes are calculated by Paddle based on the Buyer's country (VAT is 20% for Turkey) and the total including taxes is clearly stated at checkout.
- Payment is taken in advance at the start of the subscription period on Paddle's secure checkout by credit/debit card or other methods offered there. Card details are not sent to the Service Provider and are not seen or stored by the Service Provider.
- The invoice for the payment is issued by Paddle and sent to the email address the Buyer provided at checkout.
For details, see the Payment and Subscription Terms.
5. Subscription Term and Auto-Renewal
- The subscription starts on the date payment is confirmed and, unless the Buyer cancels, renews automatically for the same period length at the end of the chosen period (monthly or yearly). The renewal fee is charged by Paddle to the Buyer's saved payment instrument on the renewal date.
- The Buyer can turn off auto-renewal at any time on the Panel → Subscription page or in the Paddle customer portal. In that case, the Service remains fully usable until the end of the paid period and the account moves to the free plan at the end of the period.
- When upgrading during a period, the price difference for the remaining time is charged; when downgrading, the value of the unused time is added to the Buyer's account as credit.
- The Service Provider notifies the Buyer of price changes by email at least 30 days before they take effect. The new price applies from the first renewal after the notice; if the Buyer does not accept it, they can cancel their subscription before renewal.
- If a renewal payment cannot be collected, Paddle retries the payment at intervals and the Service remains available for 7 more days; if payment cannot be collected, the subscription ends and the account moves to the free plan terms. The Buyer's data is not deleted as a result.
6. Performance of the Service (Delivery)
The Service involves no physical delivery and is performed entirely electronically. Once payment is confirmed, the features of the selected plan are made available on the Buyer's account immediately (within 24 hours at the latest) and the Buyer is informed by email. Details are set out in the Service Delivery Terms.
7. Right of Withdrawal
If the Buyer is a consumer, they have the right to withdraw from the Agreement within 14 (fourteen) days of its conclusion without giving any reason and without paying any penalty. The fact that performance of the Service has started within the withdrawal period with the Buyer's consent does not remove this right; in the Buyer's favor, for withdrawal/refund requests made within 14 days of the first paid payment, the full amount paid is refunded.
Notice of withdrawal can be given within the withdrawal period by email to destek@vaktimce.com or directly to Paddle (paddle.net). The amount is refunded by Paddle to the payment instrument used within 14 days at the latest from receipt of the notice. Details are in the Refund and Cancellation Policy.
8. Cancellation and Termination
- The Buyer can cancel their subscription at any time; cancellation takes effect at the end of the paid period. For cancellations outside the withdrawal period, no refund is made for unused time.
- The Service Provider may terminate the Agreement by notice if the Service is used for unlawful purposes, infringes the rights of others, threatens system security, or in the event of a material breach of the Agreement and the Terms of Service.
9. Rights and Obligations of the Parties
- The Service Provider takes reasonable care to provide the Service without interruption and securely; it announces planned maintenance in advance wherever possible and backs up data regularly.
- The Buyer is responsible for keeping their account details confidential and for all actions taken through their account.
- The Buyer is the data controller under KVKK (Law No. 6698) for the personal data of its own customers recorded on the Platform; the Service Provider acts as data processor for that data.
- The Buyer agrees to use the Service in compliance with applicable law and the rights of third parties.
10. Protection of Personal Data
The Buyer's personal data is processed under the KVKK Privacy Notice and the Privacy Policy. Data relating to the payment is processed by Paddle under its own privacy policy for the purposes of collecting payment and invoicing.
11. Force Majeure
In circumstances beyond the parties' control, such as natural disasters, epidemics, war, widespread power or internet outages, cyber attacks or changes in legislation, the parties are not liable for failing to perform their obligations. If force majeure lasts longer than 30 days, either party may terminate the Agreement; in that case, the fee for the unused period is refunded.
12. Dispute Resolution
If the Buyer is a consumer, they may apply to the Consumer Arbitration Committee at their place of residence or where the transaction was made, within the monetary limits announced each year by the Turkish Ministry of Trade, and to the Consumer Courts for disputes exceeding those limits. Where the Buyer is a merchant, the courts and enforcement offices of İstanbul have jurisdiction.
13. Entry into Force
Before payment, the Buyer electronically confirms that they have read and accept the Pre-Contract Information Form and all terms of this Agreement. The Agreement enters into force upon this confirmation and completion of payment. The electronic records of the Service Provider and Paddle constitute conclusive evidence under Article 193 of the Turkish Code of Civil Procedure No. 6100. A copy of the Agreement is sent to the Buyer's email address and is accessible from the Panel.
